Forming Joint Ventures and Strategic Relationships 
Speaker: Joy Butler, attorney and principal, Sashay Communications

For some, a joint venture or strategic alliance may sound like the territory of a Fortune 500 company. In truth, your venture might be as straightforward as collaborating with a colleague on a children's book, teaming up with another company on a marketing campaign, or licensing a product you've developed. This seminar will explain the business and legal issues triggered by joint ventures and strategic alliances and prepare you to enter such arrangements with your eyes wide open. Our discussion will include the following:

  • Selecting the best business structure for your venture
  • Establishing your status in the venture as an employee, independent contractor, or partner
  • Determining ownership of the product and/or business information generated by your venture
  • Calculating the division of expenses and profits
  • Setting expectations with respect to control of the venture, project schedule, and division of work
Speaker: Attorney Joy R. Butler is a solo practitioner in Washington, DC, focusing on entertainment, intellectual property, and business law. Her experience includes advising clients on entity formation, contract negotiation, intellectual property protection, licensing, and securities compliance. In addition to her legal practice, Ms. Butler is a principal and the general counsel of Sashay Communications, a publishing company producing informational products on the entertainment and media industries.

Ms. Butler began her legal career in 1992 as a business and finance attorney in the Philadelphia office of Reed Smith Shaw & McClay. From 1994 through 1997 she was associated with an entertainment and communications law firm boutique in Washington, DC. Ms. Butler holds a B.A. degree in economics from Harvard College and a J.D. degree from Harvard Law School.

Location: One-half block south of the Cineplex Odeon Uptown movie theatre on Connecticut Avenue, NW, Washington, DC. (There are many restaurants suitable for pre- or post-meeting gathering/networking/refreshment in the block north of the library.) 

Parking: Very small lot, off Macomb St., to left of library. 

Metrorail--Cleveland Park Station on the Red Line (on Connecticut Avenue, just 1.5 blocks north of meeting site

Optional Post-Meeting Gatherings 

Several times a year a smaller group (usually about 8 to 12) goes to Nanny O'Brien's (directly across the street from the library at 3319 Connecticut Avenue, NW, 202-686-9189, open 2 pm Saturday to 2 am Sunday) or another local establishment for continued conversation, networking, and refreshment following the meeting. (Participants pay for their own beverages and food.)
